On February 15, 2011, Company ABC issued Market Stock Unit Awards that vest dependent on Company ABC Total Shareholder Return ("TSR") relative to the TSR of the Philadelphia Semiconductor Total Return Index ("^XSOX") at the end of a 3-year Performance Period beginning Jan 2, 2011 and ending December 28, 2013 based on the following formula:
